Acceptance of Terms
By accessing or using GiftSentry ("Platform", "Services", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services. We may update these Terms from time to time, and your continued use constitutes acceptance of any changes.
Description of Services
GiftSentry provides a platform for charitable organizations to manage donations, events, donor relationships, and related fundraising activities. Our Services include:
- Donation processing and receipt generation
- Event ticketing and attendee management
- Donor relationship management (CRM)
- Campaign and communication tools
- Reporting and compliance features
- AI-powered insights and automation
Eligibility & Account Requirements
Individual Users
- You must be at least 18 years old (or have parental/guardian consent)
- You must provide accurate and complete information
- You are responsible for maintaining account security
- One person may not maintain multiple accounts
Organizations
- Must be a legally registered entity or verified nonprofit
- Must provide accurate tax identification and organizational information
- Must have authority to accept donations on behalf of the organization
- Must comply with all applicable charitable solicitation laws
- Are responsible for the accuracy of their fundraising campaigns
Donation Processing
Payment Processing
All donations are processed through Stripe, our payment processor. By making a donation, you agree to Stripe's terms of service. Standard payment processing fees apply (typically 2.9% + $0.30 per transaction).
Donation Policies
- Donations are made directly to the receiving organization
- Refund policies are determined by each organization
- GiftSentry does not guarantee tax-deductibility; consult your tax advisor
- Organizations are responsible for issuing appropriate tax receipts
- Recurring donations continue until cancelled by the donor
Donation Disputes
If you have a dispute about a donation, you should first contact the receiving organization directly. If unresolved, contact us at support@giftsentry.com. We will work to facilitate resolution but are not responsible for organizations' fulfillment of donor expectations.
Organization Responsibilities
Organizations using GiftSentry agree to:
- Accurate Representation: Provide truthful information about your organization, mission, and use of funds
- Legal Compliance: Comply with all applicable laws including charitable solicitation, anti-money laundering, and tax regulations
- Donor Communication: Respond to donor inquiries in a timely manner
- Fund Usage: Use donated funds consistent with stated purposes
- Data Protection: Handle donor data in compliance with privacy laws
- Prohibited Content: Not use the platform for fraudulent, illegal, or harmful activities
Acceptable Use Policy
You agree NOT to:
- Use the Services for any unlawful purpose
- Submit false, misleading, or fraudulent information
- Impersonate others or misrepresent your affiliation
- Interfere with or disrupt the Services
- Attempt to gain unauthorized access to any systems
- Use automated systems to scrape or extract data
- Transmit malware, viruses, or harmful code
- Harass, abuse, or harm other users
- Violate intellectual property rights
- Use the platform for money laundering or terrorist financing
Intellectual Property
Our Rights
GiftSentry and its licensors own all rights, title, and interest in the Services, including software, design, trademarks, and content. You may not copy, modify, distribute, or reverse engineer any part of the Services.
Your Content
You retain ownership of content you submit (organization descriptions, campaign materials, images). By submitting content, you grant us a license to use, display, and distribute that content as necessary to provide the Services.
Feedback
Any feedback, suggestions, or ideas you provide about the Services may be used by us without restriction or compensation.
Fees & Billing
- Free Tier: Available for organizations with under 100 donors at no cost
- Paid Plans: Billed monthly or annually as specified; see our pricing page for current rates
- Payment Processing: Stripe fees apply to all donations processed
- Taxes: You are responsible for any applicable taxes
- Refunds: Subscription fees are generally non-refundable; contact us for exceptions
Termination
By You
You may terminate your account at any time by contacting support. Upon termination, your right to use the Services ends. We may retain certain data as required by law.
By Us
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with notice. In cases of serious violations, we may terminate immediately without notice.
Effect of Termination
Upon termination, pending donations will be processed, but you will lose access to the platform. Organizations should export their data before termination.
Disclaimers
Specifically, we do not warrant that:
- The Services will be uninterrupted or error-free
- Organizations on the platform are legitimate or trustworthy
- Donations will be used as represented by organizations
- The Services will meet your specific requirements
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability is limited to amounts paid by you in the 12 months preceding the claim
- We are not responsible for organizations' actions, representations, or use of funds
- We are not responsible for third-party services or integrations
Indemnification
You agree to indemnify and hold harmless GiftSentry, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights.
Dispute Resolution
Informal Resolution
Before filing any claim, you agree to contact us at legal@giftsentry.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration
Any disputes not resolved informally will be resolved by binding arbitration under the rules of the American Arbitration Association. Class actions are waived. Small claims court actions are permitted.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and GiftSentry
- Severability: If any provision is unenforceable, the remaining provisions remain in effect
- No Waiver: Failure to enforce any right does not waive that right
- Assignment: You may not assign your rights; we may assign ours
- Force Majeure: We are not liable for delays due to circumstances beyond our control
